In these Terms and Conditions, the terms “we”, “us” and “our” refer to Jacks Hydrogen Ltd. The terms “you” and “your” refer to any person accessing our website or purchasing goods from us.

Our registered office is provided for statutory and company correspondence. It is not a returns, inspection, warehouse or customer-service address.

Returns must be sent only to the Returns & Inspections address stated in Section 12 and in our Refund Policy.

Our online store is hosted by Shopify, which provides the ecommerce platform through which we offer our products.

2. These Terms

These Terms govern:

  • your access to and use of our website;

  • orders placed through our online store;

  • purchases of our products;

  • your use of any associated content, features or services; and

  • the contractual relationship between you and us.

These Terms should be read together with our:

  • Privacy Policy;

  • Refund and Returns Policy;

  • Shipping Policy;

  • Cookie Policy; and

  • any product-specific warranty or safety information.

Please insert links to those policies where appropriate.

By using our website or placing an order, you agree to these Terms. If you do not agree, you should not use the website or place an order.

Nothing in these Terms affects any statutory rights you have under applicable consumer law.

3. Consumers and business customers

A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession.

A business customer is any person, company or organisation purchasing wholly or mainly for business purposes.

Some rights and protections in these Terms apply only to consumers. Where separate rules apply to business customers, this is stated expressly.

4. Eligibility and account information

You must be at least 18 years old to place an order through our website.

When placing an order, creating an account or contacting us, you must provide information that is accurate, current and complete.

You are responsible for:

  • keeping your account password and login details confidential;

  • notifying us if you believe your account has been accessed without permission;

  • ensuring that your billing, delivery and contact details are correct; and

  • all activity carried out through your account unless caused by our failure to provide reasonable security.

You must not transfer, sell or permit another person to use your account without our permission.

5. Product information

We take reasonable care to ensure that product descriptions, photographs, specifications, prices and availability information are accurate.

However:

  • screen settings may cause colours or finishes to appear slightly different;

  • product packaging may be updated;

  • minor non-material design changes may be introduced by the manufacturer; and

  • photographs may include accessories or background items that are not supplied unless expressly listed.

Any product supplied will materially correspond with its description.

Where dimensions, flow rates, purity figures, power ratings or other technical specifications are stated, these may be subject to the tolerances expressly shown on the product page or in the manufacturer’s documentation.

We reserve the right to:

  • update product information;

  • make non-material improvements or alterations;

  • withdraw products;

  • correct genuine errors; and

  • limit quantities where reasonably necessary.

We will not substitute a materially different product without your agreement.

6. General information and medical disclaimer

Information on our website concerning hydrogen, oxyhydrogen generation, electrolysis, inhalation, flow rates, published research or related topics is provided for general educational and informational purposes only.

It is not:

  • medical advice;

  • a diagnosis;

  • a treatment recommendation;

  • a substitute for professional medical care; or

  • a representation that any product will diagnose, treat, cure or prevent any disease or medical condition.

We do not promise or guarantee any medical, therapeutic or health outcome.

You should seek advice from an appropriately qualified healthcare professional before using a product where you:

  • have a medical condition;

  • use prescription medication;

  • are pregnant;

  • have respiratory or cardiovascular concerns;

  • are receiving medical treatment; or

  • are uncertain whether use is appropriate for you.

Product suitability may vary between individuals. Any decision to use a product in connection with personal health research is your own informed decision, subject always to your statutory rights regarding the product itself.

7. Placing an order

When you submit an order, you are making an offer to purchase the products shown in your basket.

The automated order acknowledgement sent after checkout confirms that we have received your order. It does not necessarily mean that we have accepted it.

A binding contract is formed when we:

  • send you a dispatch confirmation; or

  • otherwise expressly confirm that your order has been accepted,

whichever occurs first.

We may decline or cancel an order before acceptance where, for example:

  • the product is unavailable;

  • payment has not been authorised;

  • the billing or delivery information cannot be verified;

  • we reasonably suspect fraud or unauthorised payment;

  • there is an obvious pricing or product-description error;

  • delivery is not available to the address supplied;

  • applicable legal or regulatory restrictions prevent supply; or

  • the quantity ordered suggests unauthorised resale or export.

Where we decline or cancel an order after payment has been taken, we will refund the amount paid.

8. High-value order verification

Because our products are high-value goods, we may carry out reasonable security and fraud-prevention checks before dispatch.

We may contact you to confirm:

  • your identity;

  • your billing and delivery details;

  • that you authorised the transaction;

  • the intended delivery recipient; or

  • other information reasonably required to protect both you and us from fraud.

We may delay dispatch while reasonable checks are completed.

If requested verification cannot be completed, we may decline the order and refund any payment received.

Any personal information used for fraud-prevention purposes will be handled in accordance with our Privacy Policy and applicable data-protection law.

9. Prices and payment

Prices are shown in pounds sterling unless expressly stated otherwise.

Prices include VAT where applicable.

Any delivery charge will be shown before you complete your order.

Where we offer delivery outside the United Kingdom, the recipient may be responsible for local:

  • import VAT;

  • customs duties;

  • clearance charges;

  • handling fees; or

  • other taxes imposed by the destination country.

We will make this clear where reasonably practicable, but such overseas charges are not controlled by us unless expressly included in the checkout price.

We accept the payment methods displayed at checkout.

You confirm that:

  • you are authorised to use the payment method provided;

  • the payment details are accurate;

  • sufficient funds or credit are available; and

  • you will not knowingly make an unauthorised or fraudulent transaction.

We may use third-party payment providers. Their processing of your payment information is also subject to their own terms and privacy policies.

10. Obvious pricing errors

We take reasonable care to ensure prices are correct.

If a price is obviously incorrect and the error could reasonably have been recognised, we may contact you before dispatch and offer you the choice of:

  • purchasing at the correct price; or

  • cancelling the order for a full refund.

We will not rely on this section to avoid an accepted contract merely because we later decide that a correctly displayed price was commercially unfavourable.

11. Delivery

Available delivery locations, services and charges are shown during checkout or in our Shipping Policy.

Delivery times are estimates unless we expressly agree a guaranteed delivery date.

We will deliver within the period stated at checkout or otherwise agreed with you. Where no period has been agreed, consumer orders will normally be delivered within 30 days.

If we cannot deliver within the agreed or legally required period, we will contact you. Your statutory rights relating to delayed delivery remain unaffected.

Delivery address

You are responsible for providing a complete and accurate delivery address.

We may refuse a request to redirect a high-value order after dispatch or to deliver to an address that cannot reasonably be verified.

Signature and safe-place delivery

Our machines may require:

  • an adult signature;

  • delivery to the named address;

  • proof of delivery; and

  • attendance by the recipient or another responsible adult.

Unless we expressly agree otherwise, high-value products must not be:

  • left in an unattended safe place;

  • left outside;

  • delivered to a neighbour;

  • redirected to a parcel locker; or

  • handed to an unauthorised third party.

Risk

For consumer orders, the product remains at our risk until it comes into the physical possession of:

  • you; or

  • a person identified by you to receive it.

Where you independently appoint a carrier that was not offered or arranged by us, risk may pass when the product is handed to that carrier, to the extent permitted by law.

Ownership of the product passes to you when we have received payment in full and the product has been delivered.

Delivery inspection

Please inspect the external packaging and product promptly after delivery.

If there is visible damage, please contact us as soon as reasonably possible and retain:

  • the outer packaging;

  • internal protective packaging;

  • the shipping label;

  • photographs of the damage; and

  • the product serial number.

Prompt reporting helps us investigate with the carrier, but failure to report immediately does not remove any statutory rights.

12. Cancellation, returns and refunds

Consumer cancellation, return and refund rights are set out fully in our Refund and Returns Policy.

In summary, eligible online consumer purchases may normally be cancelled by notifying us within 14 days after receiving the goods. After notifying us, the goods must normally be returned within a further 14 days.

  • return-delivery responsibilities;

  • inspection procedures;

  • deductions for diminished value;

  • hygiene-product exclusions;

  • faulty-product rights; and

  • refund timescales.

Do not send returned products to our registered office.

Please contact us before sending a return so that we can record it and provide appropriate instructions.

A failure to obtain a return reference does not remove a consumer’s statutory cancellation rights, but contacting us first helps avoid delay or misidentification.

Diminished value

Where a consumer handles or uses a product beyond what is reasonably necessary to establish its nature, characteristics and functioning, we may make a lawful and proportionate deduction for any resulting reduction in value.

This may include damage, contamination, excessive use, missing parts, misuse or alteration attributable to the customer.

No automatic restocking fee applies.

Nothing in this section limits rights relating to faulty, misdescribed or non-conforming goods.

13. Faulty or non-conforming products

Products supplied to consumers must be:

  • of satisfactory quality;

  • fit for any purpose made known and accepted;

  • as described; and

  • otherwise compliant with applicable consumer law.

If a product is faulty, damaged before delivery, not as described or otherwise does not conform to the contract, you may have statutory rights including:

  • the short-term right to reject;

  • repair;

  • replacement;

  • a price reduction; or

  • a final right to reject,

depending on the circumstances and applicable law.

  • your order number;

  • the product serial number;

  • a description of the issue; and

  • photographs or video where reasonably helpful.

Requesting reasonable evidence does not remove or delay your statutory rights unfairly.

Where goods are confirmed as faulty or incorrectly supplied, we will arrange or reimburse reasonable return costs as required by law.

Damage caused by misuse, accident, unsuitable water, unauthorised modification, failure to follow instructions or normal wear is not necessarily an inherent product fault.

14. Commercial warranties

Any commercial warranty offered with a product is additional to your statutory rights.

The applicable warranty period and conditions will be stated on the product page, warranty documentation or order confirmation.

Unless the warranty expressly states otherwise, it will not normally cover:

  • accidental or cosmetic damage;

  • misuse or neglect;

  • use contrary to the instructions;

  • use of unsuitable water or fluids;

  • contamination;

  • blocked vents;

  • unauthorised opening, repair or modification;

  • damage caused by unsuitable electrical supply;

  • normal wear;

  • consumable items; or

  • damage incurred after risk has passed to the customer.

A warranty exclusion does not remove any statutory right where the product was faulty or non-conforming when supplied.

15. Product use and safety

You must read and follow all instructions, safety information and warnings supplied with the product.

In particular, you must:

  • use only the water type specified for the product;

  • operate the machine in a dry, stable and adequately ventilated indoor environment;

  • keep ventilation openings clear;

  • keep the product away from flames, smoking materials, sparks and ignition sources;

  • use compatible tubing, cannulas and accessories;

  • avoid unauthorised dismantling or modification;

  • disconnect the product before cleaning or maintenance where instructed;

  • supervise use where reasonably necessary; and

  • stop using the product if it appears damaged or develops an unusual smell, sound, temperature or fault indication.

Products must not be used in a manner inconsistent with their instructions or intended design.

You must not rely on the product as a substitute for emergency, prescribed or professional medical treatment.

16. Hygiene accessories

Nasal cannulas, masks, tubing and similar personal-use accessories may be supplied in sealed hygiene packaging.

Where a sealed product is not suitable for return for health-protection or hygiene reasons, the statutory cancellation right may cease once the seal has been broken.

This applies only where the legal hygiene exception is applicable.

A hygiene exclusion does not remove rights where the accessory is faulty.

Opening a hygiene accessory does not automatically remove the right to cancel or return the main machine.

17. Intellectual property

All intellectual-property rights in the website and its content belong to us or our licensors, including rights in:

  • the Jack’s Hydrogen name and branding;

  • logos;

  • product names;

  • website text;

  • photographs;

  • graphics;

  • videos;

  • layouts;

  • software;

  • downloadable documents; and

  • original educational content.

You may access and use the website for lawful personal use.

You must not, without our prior written permission:

  • copy or reproduce substantial website content;

  • republish product photographs;

  • alter or remove copyright or trademark notices;

  • use our branding in a misleading way;

  • scrape or systematically extract website content;

  • create derivative commercial content;

  • suggest that you are associated with or endorsed by us; or

  • use our intellectual property for resale, advertising or commercial purposes.

Nothing in these Terms transfers ownership of our intellectual property to you.

Shopify and other third-party names and logos remain the property of their respective owners.

18. Reviews, feedback and submitted content

Where you submit a genuine review, image, testimonial, suggestion or other content, you confirm that:

  • it is accurate to the best of your knowledge;

  • it is based on your genuine experience where presented as a review;

  • you have the right to submit it;

  • it does not infringe another person’s rights;

  • it is not unlawful, defamatory, abusive or misleading; and

  • any incentive or compensation has been disclosed.

You grant us a non-exclusive, worldwide, royalty-free licence to reproduce, display, edit for length or formatting, and use that content in connection with our website and business.

We will not materially alter the meaning of a customer review.

We may remove submitted content where we reasonably believe it is unlawful, fraudulent, irrelevant, abusive, misleading or infringes third-party rights.

19. Third-party services and links

Our website may use or link to third-party services, including:

  • Shopify;

  • payment providers;

  • finance providers;

  • delivery companies;

  • analytics services;

  • social-media platforms; and

  • external research or informational websites.

Third-party websites and services are operated independently.

We are not responsible for their content, availability, security or practices, except where responsibility cannot lawfully be excluded.

Before using a third-party service, you should review its applicable terms and privacy information.

Any contract entered directly with a third party is between you and that third party.

20. Relationship with Shopify

Shopify provides the ecommerce platform used to operate our store.

Your contract for the purchase of products is with Jacks Hydrogen Ltd, not Shopify.

Shopify is not the seller of our products and is not responsible for fulfilling your order, providing customer support for the product, or dealing with product returns.

Nothing in these Terms excludes any responsibility that Shopify or another party may have independently under applicable law.

21. Privacy and cookies

We process personal information in accordance with our Privacy Policy and applicable data-protection law.

Because the website is hosted by Shopify, certain personal information may be processed by Shopify and other service providers to:

  • operate the website;

  • process orders;

  • prevent fraud;

  • provide payment services;

  • arrange delivery;

  • improve the store; and

  • comply with legal obligations.

Our use of cookies and similar technologies is explained in our Cookie Policy.

22. Prohibited use

You must not use the website:

  • unlawfully or fraudulently;

  • to infringe intellectual-property or privacy rights;

  • to transmit malware or harmful code;

  • to interfere with website security;

  • to impersonate another person;

  • to submit false payment or identity information;

  • to harass or abuse another person;

  • to send unsolicited commercial communications;

  • to scrape or extract content in breach of these Terms;

  • to circumvent access controls;

  • to place fraudulent or unauthorised orders; or

We may restrict or suspend access where we reasonably believe that a serious breach, fraud, security threat or unlawful use has occurred.

23. Website availability

We aim to keep the website available and accurate but cannot guarantee uninterrupted or error-free access.

We may temporarily suspend or restrict the website for:

  • maintenance;

  • security;

  • technical failures;

  • upgrades;

  • events outside our reasonable control; or

  • legal or regulatory reasons.

This does not affect an order contract that has already been accepted or any statutory rights relating to that order.

24. Our liability to consumers

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • defective products where liability cannot legally be excluded;

  • breach of statutory consumer rights; or

  • any other liability that cannot lawfully be excluded or limited.

If you are a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of contract or failure to use reasonable care and skill.

Loss or damage is foreseeable where:

  • it was obvious that it might occur; or

  • both parties knew it might occur when the contract was made.

We are not responsible for losses that were not foreseeable.

Where you purchase as a consumer, we are not responsible for business losses, including:

  • loss of profit;

  • loss of revenue;

  • loss of business;

  • loss of opportunity; or

  • business interruption.

We do not exclude liability for damage to your property where caused by our negligence or a defective product and where the law does not permit exclusion.

25. Liability to business customers

This section applies only where you purchase wholly or mainly for business purposes.

Nothing excludes or limits our liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • breach of title;

  • liability under product-safety law that cannot be excluded; or

  • any other liability that cannot lawfully be limited.

Subject to the above, we will not be liable to a business customer for:

  • indirect or consequential loss;

  • loss of profits;

  • loss of revenue;

  • loss of business;

  • loss of anticipated savings;

  • loss of goodwill;

  • loss of data; or

  • business interruption.

Subject to the exclusions above and to the extent legally reasonable, our total aggregate liability arising from a business order will not exceed the total amount paid by the business customer for the product giving rise to the claim.

This limitation does not apply where it would be unreasonable or unlawful.

26. Events outside our reasonable control

We are not responsible for delay or failure caused by events outside our reasonable control, including:

  • severe weather;

  • fire or flood;

  • industrial action;

  • transport disruption;

  • failure of utilities or communications systems;

  • government restrictions;

  • import or customs disruption;

  • epidemic or pandemic;

  • war, terrorism or civil disorder;

  • cyberattack; or

  • supplier failure that could not reasonably have been avoided.

We will take reasonable steps to minimise the effect of such an event.

If the event materially delays a consumer order, any statutory right to cancel or obtain a refund remains unaffected.

27. Resale and export

Unless agreed by us in writing, products are supplied for end use and not for commercial resale, redistribution or export.

You must not remove or alter:

  • serial numbers;

  • safety labels;

  • compliance markings;

  • manufacturer information; or

  • product-identification markings.

This section does not prevent a consumer from selling their own used product lawfully after purchase.

28. Suspension and termination

We may suspend or terminate access to the website where reasonably necessary because of:

  • a material breach of these Terms;

  • fraud or suspected fraud;

  • unlawful activity;

  • security risk;

  • abusive conduct; or

  • interference with the website.

Termination does not affect:

  • rights already accrued;

  • an accepted order;

  • payment obligations;

  • consumer rights; or

  • provisions intended to continue after termination.

29. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as removed or limited only to the minimum extent necessary.

The remaining provisions will continue in effect.

30. No waiver

If we delay or fail to enforce a right, this does not mean that we have waived that right.

A waiver will apply only where expressly confirmed by us.

31. Entire agreement

These Terms and the policies incorporated into them form the agreement between you and us concerning website use and product orders.

Nothing in this section limits liability for fraud or prevents a consumer relying on statements that form part of the contract under applicable law.

32. Assignment

You may not transfer your contractual rights or obligations without our written agreement, except where the law permits.

We may transfer our rights or obligations to another organisation where:

  • this does not reduce your rights;

  • it does not materially disadvantage you; and

  • we notify you where legally required.

33. Changes to these Terms

We may update these Terms from time to time to reflect:

  • changes in law;

  • changes to our products or services;

  • security requirements;

  • changes to our business; or

  • improvements in clarity.

The version applying to an order will normally be the version in force when the order was placed.

Changes will not retrospectively remove rights under an existing contract.

The current version will be displayed on this page with its last-updated date.

34. Governing law and courts

These Terms and any contract between you and us are governed by the law of England and Wales.

If you are a consumer living in:

  • England or Wales, proceedings may be brought in the courts of England and Wales;

  • Scotland, proceedings may also be brought in the Scottish courts; or

  • Northern Ireland, proceedings may also be brought in the Northern Irish courts.

Nothing in this section removes any mandatory consumer protection available in the country where you live.

If you are a business customer, the courts of England and Wales will have exclusive jurisdiction, unless we agree otherwise in writing.

We aim to resolve complaints fairly and promptly.
